Authorised capital is maximum amount of capital that a company can raise through issue of shares to its members/ shareholders. Authorised capital consists of number of shares and value per share, it is specified in capital clause of the MOA. The requirement of more funds for expansion and diversification of business and additional working capital requirements may call for an increase in authorised capital of the company. The company can increase its authorised capital after obtaining prior approval from its shareholders in a general meeting.
